CONSTITUTION of THE ELFUN SOCIETY
1
The name of the Society shall be ELFUN.

The purpose of the Society shall be the encouragement of the spirit of co-operation, fraternity and good fellowship as a means of promoting the welfare of its members and the interests of the General Electric Company.

The membership of the Society shall be limited to individuals who are employed by the General Electric Company in responsible positions or who are associated with it in an advisory or consulting capacity. The membership of an individual shall automatically cease upon the severance of his relations with the General Electric Company.

The initial membership of the Society shall consist of the present associates of the Electrical Funds. New members may be admitted from time to time in the manner provided by this Constitution.

There shall be an Administrative Committee consisting of eleven members who shall be elected from the members of the Society.

There shall be a Membership Committee of five who shall be elected by and from the members of the Administrative Committee. This Membership Committee shall recommend candidates for membership in the Society who may be elected to membership by the Administrative Committee.

The election of said Administrative Committee shall take place at the annual meeting of the Society which shall be held during the summer conference. The officers elected shall assume office one week after their election and shall continue in office until one week after the election of their successors. Sixty days before the annual meeting the Administrative Committee shall appoint a Nominating Committee, consisting of three members of the Society, which will send a notice to all members asking for names of candidates and shall propose nominees for the Administrative Committee at the annual meeting. An affirmative vote of the majority of the members of the Society present shall constitute the election of the nominees proposed.

The Adminsitrative Committee shall select from its own members a President, a Vice-President, a Secretary and a Treasurer.

The President shall preside over all meetings of the Society and shall approve all vouchers covering disbursements of the Society's funds.

The Vice-President shall perform the duties of the President during his absence.

The Secretary shall keep the minutes of the meetings and the record of membership, and shall attend to the general correspondence of the Society.

The Treasurer shall keep all financial records, collect dues and have charge of all the funds of the Society. He may draw checks for the payment of all vouchers approved by the President. He shall make a financial report at the annual meeting.

Any vacancy occurring in the Administrative Committee shall be filled for the unexpired portion of the term by the remaining members of the Administrative Committee.
Any vacancy in the Membership Committee or among the officers of the Society shall be filled for the unexpired portion of the term by the Administrative Committee.

In addition to the annual meeting, special meetings may be called by the President with the approval of the Administrative Committee.

Members of the Society shall promptly pay any assessments levied against them by the Society.

The Treasurer's account shall be audited at the discretion of the President or at the request of any other member of the Society.

This Constitution may be amended or repealed by the affirmative vote of a majority of the members present at any annual meeting or by letter ballot. Any other matters which may properly come before the Society for action may also be determined by the affirmative vote of a majority of the members of the Society present at any annual meeting or by letter ballot.
